1. Acceptance of Terms
These Terms and Conditions constitute a legally binding agreement between you and 3C NET PVT Ltd. ("Company," "we," "us," or "our"), operating as TowMyCar.uk. By accessing, registering for, or using TowMyCar.uk (the "Platform"), you (the "User") confirm that you have read, understood, and agreed to be legally bound by these Terms and Conditions ("Agreement").
If you do not agree to these Terms, you must not use or access our services. Your continued use of the Platform constitutes your acceptance of any updated or revised terms.
TowMyCar.uk reserves the absolute and exclusive right to modify, amend, update, or revise these Terms and Conditions at any time and from time to time, at its sole discretion and without prior notice. Any such modifications shall become effective immediately upon publication on our website at https://www.towmycar.uk/terms
2. Definitions and Interpretation
Unless the context requires otherwise:
i. "Company" shall mean 3C NET PVT Ltd., a company registered in the United Kingdom under Company Registration No. 16204011.
ii. "Platform" shall mean the TowMyCar.uk website, mobile applications, application programming interfaces (APIs), and all related services provided by the Company.
iii. "Services" shall mean vehicle transportation, towing, recovery, and roadside assistance services provided through the Platform.
iv. "Service Provider" shall mean any independent contractor or freelancer duly registered with the Company to provide vehicle transportation services, roadside assistance—including but not limited to jump-start services, tire puncture assistance, battery breakdown services—and mobile mechanic services, among other related services.
v. "Customer/User" shall mean any individual or entity that requests or utilizes the Services through the Platform, whether registered or unregistered.
vi. "Booking" shall mean a formal request for Services submitted through the Platform by a Customer.
3. Platform Services and Limitations
3.1 Platform Role
I. The Company operates solely as a technology platform that facilitates connections between Customers and Service Providers for the provision of Services.
II. The Company does not, in any capacity, provide transportation, towing, recovery, or roadside assistance services directly.
III. The Company shall not be liable for the performance, quality, safety, legality, or timeliness of any Services provided by Service Providers, nor does it assume any responsibility for the actions, omissions, or conduct of Service Providers or Customers.
3.2 Service Provider Relationship
I. All Service Providers operate as independent contractors and not as employees, agents, or representatives of the Company. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency between the Company and any Service Provider.
II. The Company conducts basic credential verification, including but not limited to insurance and licensing requirements. However, the Company makes no representations, warranties, or guarantees regarding the quality, safety, reliability, or performance of the Services provided by Service Providers.
III. All Service Providers are required to maintain valid and comprehensive commercial insurance coverage in accordance with applicable laws and regulations in the United Kingdom. The Service Provider shall be solely responsible for ensuring compliance with all insurance obligations and for any claims, damages, or liabilities arising from the provision of Services.
3.3 Misuse of Platform
3.3.1 Incorrect Service Selection and Misrepresentation
If a Customer selects an incorrect service category or provides false, misleading, or inaccurate information, such instances shall be addressed in accordance with the applicable policies of the respective Service Provider. The Company shall bear no liability for any disputes, cancellations, delays, or additional charges arising from such misrepresentation.
3.3.2 Prohibition of Pre-Booking Contact
Prior to the confirmation of a Booking, both Customers and Service Providers are strictly prohibited from exchanging any contact information, including but not limited to phone numbers, email addresses, social media handles, or any other means of direct communication. Any violation of this provision may result in the suspension or termination of the violating party's account, at the sole discretion of the Company.
3.3.3 Subcontracting Prohibition
Service Providers shall not assign, delegate, or subcontract any customer requests in any manner whatsoever. Only the Service Provider confirmed by the Customer is authorized to perform the job. Upon the Customer's request, the Service Provider shall provide evidence of identity and authorization to verify authenticity.
3.3.4 Prohibition of Forged or Altered Documents
The Service Provider shall not submit, present, or utilize any forged, falsified, or altered documents at the time of registration or at any subsequent stage.
3.3.5 Prohibition of Direct Solicitation and Circumvention
The Service Provider shall not publish, disclose, or share any information that enables the Customer to identify or contact the Service Provider directly for the purpose of bypassing the TowMyCar.uk platform and engaging in direct business transactions. This includes, but is not limited to, displaying contact details, business names, or promotional content in profile pictures, descriptions, or any other materials accessible to Customers.
4. Service Provider and Customer/User Registration and Account Security
4.1 Account Requirements
I. Service Provider or Customer/Users must be at least 18 years of age to register and use the Platform.
II. Service Providers or Customers/Users are required to provide accurate, current, and complete information during registration and must ensure that such information remains up to date at all times.
III. Service Providers or Customers/Users are responsible for maintaining and updating their account details as necessary to ensure compliance with the Company's requirements.
IV. Service Providers or Customers/Users must keep their login credentials, including usernames and passwords, secure and confidential. The Company shall not be liable for any unauthorized access, loss, or damage resulting from a User's failure to safeguard their account credentials.
4.2 Service Provider Documentation
I. Service Providers are required to upload and maintain valid and up-to-date documentation, including but not limited to insurance certificates, public liability certificates, and any necessary licenses as required by applicable laws and regulations.
II. In the event that any required documentation expires or undergoes changes, the Service Provider must update the relevant documents within 24 hours of such expiration or modification.
III. If the validity of the driving licence, insurance documents, or any other mandatory certifications expires, is suspended (including but not limited to suspension due to drug or alcohol-related offences), or is temporarily revoked for any reason, including medical conditions, the Service Provider shall promptly notify the Company's administration. The Service Provider must also immediately inform the Company of any vehicle condition issues or other circumstances that may affect their ability to safely and lawfully perform services through the platform.
IV. The Company shall not be held liable for any damages, losses, claims, legal proceedings, or consequences arising from a Service Provider's failure to notify the Company of expired, suspended, or revoked documentation, or from the Service Provider's acceptance and performance of services while operating with invalid credentials. The Service Provider assumes full responsibility and liability for all activities conducted on the Platform during periods when their documentation is not valid or current.
V. Failure to maintain valid documentation or to provide updates within the specified timeframe may result in the temporary suspension or permanent termination of the Service Provider's account at the sole discretion of the Company.
5. Booking and Payment Terms
5.1 Booking Process
I. All Bookings made through the Platform are subject to Service Provider availability. The Company does not guarantee the availability of any specific Service Provider at any given time.
II. Pricing for Services is determined solely by the respective Service Provider and may vary based on factors such as location, service type, and additional requirements. The Company does not regulate or set service prices.
III. Additional charges may apply for extra services, extended waiting times, or any modifications requested by the Customer beyond the initial Booking details. Such charges shall be determined at the discretion of the Service Provider.
5.2 Payment Terms
I. The Customer shall pay the Service Provider directly for the Services rendered, in accordance with the payment terms specified at the time of Booking. The Company shall not be responsible for any payment disputes between Customers and Service Providers.
II. The Company shall collect a commission from the Service Provider upon confirmation of a Booking. The commission amount or percentage shall be as agreed between the Company and the Service Provider.
III. All payments to Company for Services facilitated through the Platform shall be processed securely via Stripe or any other designated third-party payment processor.
5.3 Cancellation Policy
I. Customers may cancel a Booking free of charge if the cancellation request is submitted at least 12 hours prior to the scheduled service time.
II. Cancellations made after 12 hours of the scheduled service may be subject to cancellation fees as determined by the respective Service Provider's cancellation policy. The Company shall not be responsible for enforcing or refunding any cancellation fees.
6. Insurance and Liability
6.1 Insurance Requirements
I. All Service Providers are required to maintain valid and comprehensive commercial insurance in compliance with applicable UK regulations.
II. Service Providers must ensure that proof of insurance remains current and is updated promptly upon renewal or modification. Failure to maintain valid insurance may result in account suspension or termination at the Company's sole discretion.
6.2 Limitation of Liability
I. The Company's total liability, whether in contract, tort, negligence, or otherwise, shall be strictly limited to the commission amount received from the respective Service Provider for the disputed Booking.
II. The Company shall not be liable for any damages, losses, claims, or disputes arising from or related to the actual transportation or roadside assistance Services provided by Service Providers.
III. The Company shall not be held responsible for any delays, failures, or disruptions in Services caused by force majeure events, including but not limited to natural disasters, extreme weather conditions, government actions, strikes, or other circumstances beyond the Company's reasonable control.
7. Data Protection and Privacy
7.1 Data Processing
I. The Company complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in the collection, processing, and storage of personal data.
II. All personal data collected through the Platform is processed in accordance with the Company's Privacy Policy, which outlines the purposes, legal basis, and rights of data subjects regarding their personal information.
III. The Company implements appropriate technical and organizational security measures to protect user data from unauthorized access, loss, alteration, or disclosure. However, the Company shall not be liable for breaches resulting from circumstances beyond its reasonable control.
8. Intellectual Property and Content
8.1 Platform Content
I. All software, designs, text, graphics, logos, icons, images, and interfaces featured on the Platform are the exclusive property of TowMyCar.uk or are licensed to TowMyCar.uk for its use.
II. Users are prohibited from copying, modifying, reproducing, distributing, or creating derivative works based on any content on the Platform without prior written permission from TowMyCar.uk.
8.2 User-Generated Content
I. Users may submit reviews, comments, feedback, or other content to the Platform.
II. By submitting any content, Users grant TowMyCar.uk a non-exclusive, irrevocable, worldwide, royalty-free license to use, display, modify, distribute, and reproduce the content in connection with the operation of the Platform, including for promotional and marketing purposes. This license shall remain in effect indefinitely.
9. Membership and Fees
9.1 Service Provider Membership
I. The first 250 Service Providers who register on the Platform shall be granted free membership.
II. Any Service Provider registering after the initial 250-member limit must pay a membership fee, the amount of which shall be determined and communicated by the Company.
III. A fixed commission charge shall apply to each confirmed booking made through the Platform. The Company reserves the right to modify the commission structure upon prior notice to Service Providers.
10. Dispute Resolution
10.1 Resolution Process
I. In the event of any dispute arising under or in connection with these Terms, the dispute must first be reported to customer service for an initial resolution attempt.
II. Mediation shall be a mandatory step before any legal proceedings are initiated, and both parties agree to engage in good faith efforts to resolve the dispute through mediation.
III. The jurisdiction for any legal proceedings shall be the courts of England.
10.2 Governing Law
I. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
II. Any legal disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Termination
The Company reserves the right to:
I. Suspend or terminate any account for violations of these Terms or for any other actions deemed inappropriate by the Company.
II. Modify or discontinue any services or features of the Platform at its sole discretion, with or without notice.
III. Block access to the Platform in the event of suspicious, fraudulent, or illegal activity.
